1. Benefits of your ResBuilderSM scroll up

    Q: What is ResBuilderSM?
    A: Corporate Minutes ResBuilderSM is an interactive corporate minutes drafting program designed for use by privately-held corporations.
    Q: What are the benefits of ResBuilderSM?
    A: The benefits of ResBuilderSM include the following:
     
    • As an authorized user, you get unlimited use of ResBuilderSM to write corporate minutes for Shareholders' meetings and Board of Directors' meetings of your corporation that occurred on dates during the year(s) for which you registered and paid for ResBuilderSM.
       
    • To help you write your corporate minutes with ResBuilderSM, use our free Corporate Resolutions Demo as a guide. We incorporated screen shots into the Demo showing you each step of the corporate minutes writing process as seen through the eyes of a hypothetical user.
       
    • You may save work-in-progress (answers) for different meetings (different dates) at the same time in your User Account all for completion at a future date.
       
    • You may view your status chart in your User Account at any time to determine what work-in-progress you have outstanding for corporate meeting minutes for meetings that occurred on various dates.
       
    • For as long as you continue to register and pay for consecutive Renewal Years, we will save your completed corporate minutes data in your User Account in case you need to access or print it again at some future date.
       
    • Server space permitting, we try to save your completed corporate minutes data in your for User Account for a time after the expiration of your User Account under the presumption that you overlooked the renewal date.
       
    Q: What is meant by unlimited use of ResBuilderSM to write corporate minutes?
    A: You may access your User Account to write corporate minutes for the meetings of the Shareholders and the Board of Directors of only one (1) corporation provided that those meetings occurred on permitted dates. Permitted dates are the meeting dates that occurred during the year(s) for which you registered and paid to use ResBuilderSM to write minutes for those dates. For example, if you registered only for the Initial Year starting today, you may use ResBuilderSM to write corporate minutes for any and all meetings occurring during the next 365 days. However, since you only registered for the Initial Year, you may not use ResBuilderSM to write corporate minutes for a meeting that occurred ninety days prior to today. To do so, all you need to do is register for one (1) Prior Year.
    Q: What is meant by the Initial Year?
    A: Your Initial Year of the Service shall commence on the date that your account has been activated and shall terminate at 12:00 midnight of the three hundred and sixty-fifth (365th) day of the initial year (or in the case of a leap year, the three hundred and sixty-sixth (366th) day). For purposes of this User Agreement, all time and date references are to the time and date in Irvine, California, United States of America. We will send you notice via email if the activation date is different from the registration date.
    Q: What is meant by a Renewal Year?
    A: Each Renewal Year counts forwards from the expiration date of Initial Year or the most recently registered Renewal Year. The first Renewal Year shall commence immediately following the expiration of the Initial Year of the Service and shall expire at 12:00 midnight of the three hundred and sixty-fifth (365th) day of the Term (or in the case of a leap year, the three hundred and sixty-sixth (366th) day). Each subsequently registered Renewal Year shall commence immediately following the expiration of the expiring renewal year (or if the account is no longer active, the most recently expired renewal year) of the Service and shall expire at 12:00 midnight of the three hundred and sixty-fifth (365th) day of the Term (or in the case of a leap year, the three hundred and sixty-sixth (366th) day).
    Q: What is meant by a Prior Year?
    A: Each Prior Year counts backwards from the commencement date of the Initial Year or the earliest registered Prior Year. The first Prior Year shall commence on the date immediately preceding the commencement date of the Initial Year of the Service and shall expire at 12:01 A.M. of the three hundred and sixty-fifth (365th) day preceding that commencement date (or in the case of a leap year, the three hundred and sixty-sixth (366th) day). Each subsequently registered Prior Year shall commence on the date immediately preceding the commencement date of the earliest previously registered prior year and shall expire at 12:01 A.M. of the three hundred and sixty-fifth (365th) day preceding that commencement date (or in the case of a leap year, the three hundred and sixty-sixth (366th) day).
    Q: Can I use ResBuilderSM to write corporate minutes for any type of corporation?
    A: ResBuilderSM was designed for use in writing corporate minutes only for privately-held corporations and not for publicly traded corporations. A Privately-Held Corporation is a corporation whose stock, due to securities laws restrictions, may not be sold on the open market (e.g., its stock may not be traded over public stock exchanges). Of course, it does not matter if the privately-held corporation is a C corporation or a subchapter S corporation.
2. Login, Access and using your User Account scroll up
    Q: How do I access my User Account?
    A: As an authorized user, click on any Login link on this web site and enter the username and password chosen by you to access your User Account.
    Q: Are my Username and Password case sensitive?
    A: Yes, they are case sensitive. Whenever you enter you username and password to access your User Account, you must enter them exactly as you first entered them on the Registration page.
    Q: How do I update my User Account to change my email address or other contact information?
    A: As an authorized user, click on this Update User Data link or, the similar link in the left-hand navigation bar. Follow the instructions to update any information in your User Account.
    Q: Why must I enter a four digit date on the status chart page to create new corporate minutes?
    A: Some corporations may need to use ResBuilder to write corporate minutes in 1999 or earlier. To ensure quality control with respect to the year of the meeting, we require that you enter the year using all 4 digits.
    Q: I clicked on "Save and Proceed to View Minutes" after I finished answering questions on the data questionnaire. But whenever I click the scroll bar, a message pops up saying I must print the document. How do I view the entire completed corporate minutes on screen?
    A: Use the "Page Up" and "Page Down" buttons or the up and down arrows on your keyboard to view the entire corporate minutes. If you want to make changes to the minutes or add another resolution, click your browser back button to return to the Data Questionnaire page. If you are satisfied with the result, print the final corporate minutes. To print your corporate minutes without the headers and footers that your browser may place on the page, follow the instructions below under Printing completed Corporate Minutes (we have added screen shots to make this easy for you).
3. Privacy Protection scroll up
    Q: What is your Privacy Policy?
    A: Our Privacy Policy can be summarized as follows: For your protection, we presume that you want that information kept private. Therefore, we do not sell or lease your personal information to other companies or individuals. Please refer to our Privacy Policy for more information.
    Q: Does corporateboardminutes.com encrypt my credit card transaction?
    A: Yes. For your protection, our ResBuilderSM registration including credit card and PayPal transactions are encrypted with 128-bit encryption.
    Q: Does corporateboardminutes.com retain my credit card number?
    A: No. For your protection, we do not store any of your credit card data on our web server or other computers.
    Q: How do I test a web site's encryption levels?
    A: Before entering credit card or PayPal data on any web site, test the site for adequate encryption to protect your personal information. Look on your browser for the following indicators of security measures protecting the entry of data on a web page:
     
    • the URL identifying the secure page will always begin with "https://" rather than "http://".
       
    • A "closed lock" icon in the lower right-hand corner of your Microsoft Internet Explorer browser screen
       
    • An "unbroken key" icon in the lower left-hand corner of the Netscape Navigator browser screen
       
    Place your cursor over the closed lock icon in the lower right-hand corner of your Microsoft Internet Explorer browser screen. The words "SSL Secured (128 Bit)" should appear above your cursor. Anything less is inadequate protection. If nothing appears, right click your mouse over the closed lock icon, then click properties. You will likely find that such a site is not encrypted and credit card data from such a site can be easily intercepted.

    That is why we use 128 bit Secure Socket Layer Encryption.
4. Registration scroll up
    Q: How do I register to write corporate minutes for my corporation using ResBuilderSM?
    A: Click on this Registration link or, the similar link in the left-hand navigation bar. Follow the instructions to complete our registration form. We've kept enrollment simple for your convenience.
    Q: What is the cost to write corporate minutes for each entire year?
    A: The unlimited use of ResBuilderSM to write corporate minutes as defined above is very modestly priced.

    Our User Fee amounts to approximately:
     
    • 55 cents per day for the Initial Year; and
      41 cents per day for a Prior Year or a Renewal Year.
       
    The User Fee Schedule is as follows:
     
    • $200 for the Initial Year of corporate minutes
       
    • Optional additional years:
      $150 for each Prior Year of corporate minutes
      $150 for each Renewal Year of corporate minutes
       
    Q: My attempt to register was unsuccessful. Can I reprocess an incomplete registration without re-entering all of the same User data on the registration page?
    A: Yes, you may under certain circumstances. Our server may be able to retain registration data entered by you if the registration process was interrupted or otherwise terminated after you had selected a username and password and had clicked on the "Continue" button. Please click on this Reprocess your Incomplete Registration link if you would like to complete such a registration. You may also use this link to complete payment by credit card or PayPal if you originally selected payment by check.
5. Payment Methods scroll up
    Q: I am uncomfortable using a credit card over the Internet. Can I register without using a credit card to pay the User Fees?
    A: Yes. Go to our Registration page, enter the requested information and click on the payment by check option or payment via PayPal option.

    • Check or money order. If you choose payment via check, an invoice will be sent automatically to you at the e-mail address you specified on the registration page. Please mail a copy of the invoice together with the check or money order payable to LawVantage.com, LLC in the appropriate amount to our accounting department at P.O. Box 54341, Irvine, California 92619-4341. After we receive payment via check, we will manually activate your User Account and will send you e-mail notification that your User Account has been activated.
       
    • Check or money order requirements. All checks and money orders must be drawn on a bank account at a bank branch office located in the United States of America. The cost of processing a check drawn on a bank account at a bank office located outside of the United States of America is very expensive. We understand that some banks involved will charge fees totaling US$70.00 to US$100.00 per transaction.
       
    • Pay Pal account. If you need to join on a rush basis and do not want to use your credit card, please use your PayPal account to pay your membership fee for immediate activation of your username and password. If you do not have a Pay Pal account and wish to choose payment via PayPal, first visit www.PayPal.com and set up a personal or business account. After we receive payment via PayPal, our web server will automatically activate your User Account and will send you e-mail notification that your User Account has been activated.
       
    • In many countries, you can set up a PayPal account tied directly to your local bank. You direct your bank to put money into your PayPal account either directly or through PayPal. Then you register as a ResBuilderSM user and click PayPal as the method of payment. PayPal will quickly and electronically send the appropriate payment from your PayPal account to our PayPal account and send us notice of payment received, and then our system automatically activates your User Account.
       
    Q: In what country must I be a resident in order to open a PayPal account?
    A: This list is subject to change at anytime by PayPal. When last we checked PayPal.com, to be eligible for a PayPal account, you must be a resident one of the approved countries listed below:

    Q: Can I make payment in a currency other than US Dollars?
    A: At this time we only accept payment in United States Dollars.
    Q: I tried to register using a credit card and the transaction failed. Why did it fail and what can I do to join?
    A: Occasionally, an Internet connection is lost thereby interrupting the credit card approval process. In other instances, a registrant's bank electronically tells our bank that the credit card transaction has been declined. This may occur because the card was not properly activated by the cardholder or by a clerk at the bank, or the credit limit would be exceeded or the card is otherwise unusable based on the information entered on the registration form.

    First, double-check the credit card data that you entered on the payment section of registration form. Next, try to use the card again. If it is still rejected, please use a different credit card. If you are still unable to join using a credit card, consider paying via a check drawn on a bank account at a bank office located in the United States of America or via PayPal, or send us an e-mail to techsupport@corporateboardminutes.com or to registration@corporateboardminutes.com.
    Q: Can I register paying with a check drawn on a bank account at a bank office located in my country (which is not the United States of America)?
    A: No. Unfortunately, the cost of processing a check drawn on a bank account at a bank office located outside of the United States of America is very expensive. We understand that some banks involved will charge fees totalling US$70.00 to US$100.00 per transaction.

    However, in many countries, you can set up a PayPal account tied directly to your local bank. You direct your bank to put money into your PayPal account either directly or through PayPal. Then you register to use ResBuilderSM, click PayPal as the method of payment and PayPal quickly and electronically sends the appropriate payment from your PayPal account to our PayPal account and sends us notice of payment received, and then our system automatically activates your account.
6. Adding Prior Years and Renewal Years scroll up

    Q: How do I add a Prior Year of ResBuilderSM to my soon-to-be-established User Account?
    A: As a new registrant, you will sign up for an Initial Year and Prior Years at the same time on the on the registration page. Towards the bottom of the registration page, you will be asked to indicate how many years of corporate minutes you need to have written. The current year commencing on the registration date will automatically be checked. To add Prior years of corporate minutes, click the box to the left of "Additional Prior Years." Next, select the number of prior years from the drop down box to the right of "Number of prior years." Once the Registration form has been completed, click the "Continue" button and your User Account will include both the required Initial Year and the desired number of Prior Years.

    Q: How do I add a Prior Year of ResBuilderSM to my existing User Account?
    A: As an authorized user with an existing User Account, you have two ways to add one or more Prior Years to your existing User Account.


      (1) You may click on any Registration link on this web site, click continue at the end of the Renewal column of the User Fee Schedule chart, click I Agree to the User Agreement and then enter the username and password chosen by you to access your User Account. Follow the instructions to add (and pay for) one or more Prior Years to your User Account.

      (2) After you have accessed your User Account, you can see what date range you have already added to your User Account on the upper left-hand corner of your Status Chart. To add one or more Prior Years to an existing User Account, click on the link called Click here to add more prior or future years to your account in the upper right-hand corner of your Status Chart.

    Q: How do I add a Renewal Year of ResBuilderSM to my User Account?
    A: As an authorized user with an existing User Account, you have two ways to add one or more Renewal Years (future years) to your existing User Account.


      (1) You may click on any Registration link on this web site, click continue at the end of the Renewal column of the User Fee Schedule chart, click I Agree to the User Agreement and then enter the username and password chosen by you to access your User Account. Follow the instructions to add one or more Renewal Years to your User Account.

      (2) After you have accessed your User Account, you can see what date range you have already added to your User Account on the upper left-hand corner of your Status Chart. To add one or more Renewal Years to an existing User Account, click on the link called Click here to add more prior or future years to your account in the upper right-hand corner of your Status Chart.
7. General Troubleshooting scroll up
    Q: What if I am unable to access ResBuilderSM with my username and password?
    A: Usernames and passwords are case sensitive. If you chose "selling4Profit" as your password, then for your protection the system cannot grant you access if you enter "selling4profit" or "selling44Profit" in the login. So the first step is to double-checking your username and password. Next, please re-enter your username and password into the login. If you are still denied access then please go to our Contact Us page and select Problems with Access from the topic drop down list to start the techsupport process. In the message body of the form enter your name (first and last name) and the corporation's name and user information, and the approximate time when you where denied access. identify the browser you used to login (i.e., Internet Explorer, Netscape, AOL's browser, etc.) and describe what error message appeared on your screen when you tried to login. (It helps us to more quickly solve the problem and, if necessary, to repair the web site.) We will then respond to you via e-mail or telephone.

      Remember: Your Username and Password are case sensitive.
    Q: What if I forgot my password?
    A: No problem! Click on this Forgot Password link or, the similar link in the left-hand navigation bar. Then follow the instructions on the Forgot Password page to have your password sent to you at the email address currently in your User Account.
    Q: When I connect to the Internet through AOL, each time I am unable to print a completed corporate minutes document using my password and username. Why does this happen? How can I fix it?
    A: Many AOL users are actually using an AOL browser to access the Internet rather than Internet Explorer or Netscape. Unfortunately, the AOL browser is incompatible with some functions of some web sites. To the best of our knowledge, our print function is compatible with the AOL browser. Fortunately, if you find that you cannot print a completed corporate minutes document from our web site, the problem is easily fixed. Just follow these instructions:
     
     
    1. Connect to the Internet through AOL.
    2. Minimize AOL.
    3. Launch Internet Explorer or Netscape.
    4. Using Internet Explorer or Netscape, view and print the desired minutes.

    Q: When I click on the link to view and print my minutes, I get a blank screen. What should I do?
    A: Some versions of Internet Explorer don't handle dynamically generated PDF files properly. If you see the screen shown in Figure 1 below, follow these directions:

    1. Click on your browser's back button.
    2. Next, instead of clicking on the "view and print minutes" link with your left mouse button, use your right mouse button.
    3. When you see the drop down menu, click on "Save Target As..."
    4. The file download process will begin (it takes a moment to generate your minutes).
    5. You will be prompted to save the minutes document. Type in a name for your document (for example, "minutes2004-04-22.pdf") and click "Save".
    6. When you see the "Download complete" window, click on "Open". This will open the Adobe Acrobat PDF file in Adobe Acrobat Reader (if you don't have Adobe Acrobat Reader, you can download it for free:
      Adobe Acrobat Reader: http://www.adobe.com/products/acrobat/readstep2.html).
    7. Use Adobe Acrobat Reader to view your minutes. If they are satisfactory and you are ready to print, click on "File" in the menu bar. Within the file menu, choose "Print".
       
8. Printing completed Corporate Minutes scroll up
    Q: How do I print the corporate minutes that I wrote with ResBuilderSM?
    A: First of all, remember to put document-quality paper in your printer before printing your corporate minutes. Next, go to view your minutes (you can do this either from the completed questionnaire or from your status chart).

    One of two things will happen when you click on the link (or button) to view your minutes. Either your minutes will be loaded into your browser window using Adobe Acrobat Reader; or you will come to a blank page with a square graphic in the upper left corner (see Figure 1 above in the Troubleshooting section). This sometimes occurs with Microsoft Internet Explorer. If you see the blank screen, click here to read what to do next.

    Use Adobe Acrobat Reader to view and print your minutes. If you don't have Adobe Acrobat Reader, you can download it for free:
    Adobe Acrobat Reader: http://www.adobe.com/products/acrobat/readstep2.html.

    Upon reviewing your minutes in the Adobe Acrobat Reader, if you find that they are complete and you are ready to print, click on "File" in the menu bar of Adobe Acrobat Reader. Within the file menu, choose "Print".
    Q: Can I change the text, font or margins of the minutes document?
    A: We have selected standard 1-inch margins and the basic Arial font. Because the PDF file is protected, you cannot change the text, nor can you change the font or margin settings. If you need to make changes to the text you entered in the questionnaire, simply go back to the questionnaire (using your status chart to select the appropriate minutes) and make your changes. The minutes will be regenerated with your corrections.
