Secretary
Secretary or Corporate Secretary
- The Corporate Secretary is appointed by
the Board of Directors. Subject to the authority and direction of the Board of
Directors the Secretary is responsible for maintaining the corporate records
(such as corporate minutes, shareholder registers and transfer records) and for
giving proper timely notice of meetings to shareholders and directors. The
President and Secretary are the two corporate officer positions required at a
minimum pursuant to the laws of most states.
