Notice of Meeting
- A Notice of Meeting is one of the corporate formalities
that must be followed by your Board of Directors. Each director must
receive proper written notice of each upcoming Board meeting. A written waiver
of notice signed by each director who did not receive proper written notice of a
particular Board meeting is sufficient to meet this corporate formality. For the
record, your corporate minutes should clearly state the fact that notice was
given. Consider writing "this meeting was duly noticed" or
"this meeting was duly held pursuant to notice given" or "this
meeting was held pursuant to signed waivers of
notice."
