Certificate of Good Standing



Certificate of Good Standing or Certificate of Existence or Certificate of Authorization - A Certificate of Good Standing states that a corporation is in existence (in the case of a domestic corporation) or is authorized to transact business in the state (in the case of a foreign corporation). It may also certify that the state received all fees, taxes and penalties owed to it by the corporation and that no articles of dissolution have been filed in the state. It serves as conclusive evidence to this effect.
