Capitalization



Capitalization - In the context of a new, private corporation, Capitalization refers to the amount of money you and your co-founders invested in your corporation. Be aware that your state might be one of the remaining states to have formal minimum capitalization requirements. Informal minimum capitalization requirements may be applied by the courts when a creditor or other plaintiff or the IRS is seeking to pierce the corporate veil to get at the assets of your corporation's directors, officers and/or shareholders.
