What is Corporate Minutes ResBuilderSM?
Corporate Minutes ResBuilderSM is an interactive corporate minutes drafting program designed for use by privately-held corporations.
- ResBuilderSM resides on our web server. We created it, we installed it, we maintain it, and, as the need arises, we upgrade it. Free of those issues, you can focus on using it to write your corporate minutes.
How does Corporate Minutes ResBuilderSM work?
Getting started:
- Visit our Registration page to become an authorized user.
- As an authorized user, click on any Login link on this web site and enter the username and password chosen by you to access your User Account.
- If you have not already done so, complete or update corporation and director data in your User Account.
- Decide whether you want to first write resolutions by your shareholders or by your board of directors by clicking on the appropriate choice.
- Decide whether you want your resolutions format to be minutes of an actual meeting (such as an Annual Meeting or a Special Meeting) or a written consent in lieu of a meeting (such as a Unanimous Written Consent of the Board of Directors or a Written Consent of the Sole Shareholder) by clicking on the appropriate choice.
- Select the date of the meeting or consent form from the pop-up calendar. The calendar goes back as many years as you might need for checking a date against the day of the week.
- Scan the general data questionnaire for matters (resolutions) that were approved during the meeting date you selected. Click "yes" to all that apply to that meeting.
- At first sight our general data questionnaire may appear to be overly-comprehensive. We believe this is in your best interest.
- Remember, proper, timely corporate minutes help protect the personal assets of owners and officers from the IRS, plaintiffs, creditors and disgruntled minority shareholders.
- To make it easier for you, we grouped the questions in general categories such as "Corporate Governance" or "Compensation and Benefits." Within each category, we clustered similar questions together such as all "Compensation" questions or all "Employee Benefit Plan" questions.)
- At first sight our general data questionnaire may appear to be overly-comprehensive. We believe this is in your best interest.
- For each "yes" answer to the general data questionnaire, follow-up questions will pop-up on your screen. Enter your answers in the spaces provided.
- Your screen will now display a combination of the general data questionnaire and the applicable follow-up questions for matters (resolutions) that were approved during the meeting date you selected. You may answer all of the questions right now. Or, if you prefer, print screen, review your notes, hand-write the answers on the printed version of the questions, and complete the questionnaire later. (For example, you may need to look up the sales price of real estate sold by your corporation 2 years ago, before completing the questionnaire.)
- Some of the follow-up questions include optional pop-ups to assist you. (For example, there is a pop-up that lists various types of loan security (collateral) for secured business loan questions and a pop-up that lists various types of benefit plans for benefit plan adoption questions.)
- Your screen will now display a combination of the general data questionnaire and the applicable follow-up questions for matters (resolutions) that were approved during the meeting date you selected. You may answer all of the questions right now. Or, if you prefer, print screen, review your notes, hand-write the answers on the printed version of the questions, and complete the questionnaire later. (For example, you may need to look up the sales price of real estate sold by your corporation 2 years ago, before completing the questionnaire.)
- You may save your entered answers in your User Account for completion at a future date.
- You may save work-in-progress (answers) for different meetings (different dates) at the same time in your User Account all for completion at a future date.

- After answering all applicable questions for a particular meeting, click continue and the program will pull together your answers and the correct resolutions to create a final corporate minutes for that meeting or consent.
- Remember to put document-quality paper in your printer before printing your corporate minutes.
- Save your completed corporate minutes data in your User Account in case you need to print them again in the future.
- Server space permitting, we try to save your completed corporate minutes data in your for User Account for a time after the expiration of your User Account under the presumption that you overlooked the renewal date.
